1.01 Company

Bruno Moinard Editions is a simplified joint-stock company with capital of 10,000 euros, having its main establishment at 41, avenue Montaigne 75008 Paris, registered with the RCS of Paris under number 750 775 611 (hereinafter "BME"). BME is a company specializing in the conception, design, creation and sale of indoor and outdoor furniture, as well as all decorative objects and lighting.

1.02 Acceptance of the general conditions of sale

These general conditions of sale (hereinafter the "General Conditions") establish, with the order form, the contractual conditions exclusively applicable between BME and the Customer relating to the sale of decorative objects created and/or marketed by BME (hereinafter the "Products"). The order of any Product implies the acceptance without restriction or reservation by the Customer of these General Conditions, whatever the means or the medium and according to the methods provided for in Article 3 above. -below. In the event of contradictions between the provisions of the General Conditions and those of the order form, the latter shall prevail.

1.03 Modification of the General Conditions

The applicable General Conditions are those signed by the Customer and attached to the order form. BME reserves the right to modify these General Conditions at any time, in order to comply in particular with any changes in the regulations. These changes will have no impact on current contracts and offers issued.

Article 2. Offres

The Products offered, as well as the related prices, are those in force on the day of the order placed by the Customer, as detailed in the order form. The parties determine in the order form the specific conditions of the services offered by BME that they wish to apply for the order in question. These conditions are specific to each purchase order and form the basis for calculating the billable amount. These changes will have no impact on current contracts and orders placed.

Article 3. Commande

3.01 Order Effective Date

No order can be taken into account if the order form and these General Conditions are not duly completed and marked with the handwritten mention "good for agreement". The order will take effect from the receipt by BME of the two documents. referred to above, duly completed and payment of the deposit provided for in article 7 below. These documents can be sent by any means and in particular by email or fax. Any order from an agent of the Customer must be accompanied by a copy of the mandate contract justifying this quality (certificate of mandate).

3.02 Order process

BME will send an order form to any Customer who has informed it of the desire to acquire one or more Product(s). This order form will specify the number, description, net and tax-free price and, where applicable, the estimated manufacturing lead times of the Product(s) ordered, as well as the price and estimated lead times. Delivery. It is expressly specified that the photos included in the order form are purely indicative and have no contractual value.

3.03 Cancellation and/or modification of the order

Given the fact that certain Products sold by BME are commissioned works produced at the express request of the Customer, the latter may only validly request the cancellation and/or modification of his order before the start of manufacture of, or of, Product(s) initially ordered. The Customer must notify BME in writing of this request for cancellation and/or modification of the Product(s). BME will inform the Customer by return of the possibility or impossibility of the cancellation and/or modification requested. In the event of cancellation of the order after the start of production of the Product(s) ordered, BME shall be entitled to retain the deposit paid by the Customer at the time of the order, in accordance with the provisions of the Article 7 below. No cancellation of the order may occur due to delay in the delivery of the Product(s).

Article 4. Disclaimer

BME draws the Customer's attention to the fact that the Products sold may have a slightly different rendering, particularly in terms of colors and materials, and present minimal imperfections related to the natural materials used (wood, leather, etc.), which may change. from one product to another or from one production to another or over time and depending on the storage conditions. Therefore, BME cannot be held responsible, and the Customer may cancel the sale or request any price reduction, for such imperfections and/or impressions different from those on the plans and/or catalogues.

Article 5. Livraison

5.01 Terms and delivery times

The delivery time(s) mentioned in the order form are indicative and begin to run from the good reception by BME of all the documents required under article 3.01 above. The Product(s) will be delivered by the carrier chosen by either party to the address provided by the Customer, as indicated on the order form signed by the latter. The Customer expressly undertakes to provide accurate and up-to-date information concerning him. Failing this, BME cannot be held responsible in the event of problems encountered during delivery. Unless otherwise provided in the order form or specific agreement between the parties, the Customer must take out specific additional insurance relating to transport and must inform BME prior to transport. In the event that the management of the delivery is entrusted by the customer to BME, the latter will take out insurance in this respect. Before any delivery, the Customer must inform BME of any unusual accessibility procedures or specific authorization required, at the place of destination (stairs, doors, elevator, etc.) of the Product(s), which could make delivery complex or require the use of specific delivery equipment (crane, winch, lift, etc.). The Customer must be present, or be represented by any person of his choice, on the actual delivery date of the Product(s). This effective delivery date will be indicated by BME to the Customer at least two (2) weeks in advance.


5.02 Reservations

The Customer is required to check the quality and any defects of the Product(s) at the time of delivery, indicating on the delivery note the reservations and/or complaints that he intends to make. The Customer must imperatively confirm these reservations and/or complaints by registered letter with acknowledgment of receipt and justify them by any document to BME within ten (10) days from the date of delivery. Failing this, BME cannot be held liable by the Customer in the event of non-compliant delivery.
